Terms of Service

By accessing or using GemHub OS (“the Service”) you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Labtika Ltd. (“we”, “us”, “GemHub OS”).

GemHub OS is a jewelry operations platform providing inventory management, AI-assisted workflows, storefront generation, and related tools. Features are subject to change; we will provide notice of material changes.

During the private beta period the Service is provided “as-is” at no charge. Production pricing will be published before general availability.

• You must be at least 18 years old and authorized to enter contracts on behalf of your organization.
• You are responsible for maintaining the security of your credentials.
• You may not share account access outside your authorized team members.
• One organization per tenant unless a multi-tenant plan is purchased.

You agree not to:

• Use the Service to store or process data in violation of applicable law.
• Attempt to reverse-engineer, decompile, or extract source code.
• Use the Service to generate, distribute, or facilitate fraudulent certificates or records.
• Overload the Service with automated requests beyond normal business use.
• Resell or sublicense access to the Service without written permission.

You own your tenant data. We process it solely to provide the Service as described in our Privacy Policy. We do not use your tenant data to train AI models without explicit written consent.

You represent that you have the right to submit all data you provide to the Service, including product records, customer data, and GIA certificates.

AI-generated recommendations, flags, and drafts are advisory only. They require human review before any write action is taken. We make no warranty about the accuracy of AI outputs. You are responsible for validating all AI-generated content before acting on it.

Capabilities marked “Roadmap” are not part of the current Service and are not guaranteed to ship.

GemHub OS, its software, design system, and documentation are owned by Labtika Ltd. and protected by copyright and trade secret law. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

Content you generate using the Service (storefronts, product imagery, brand kits) belongs to you, subject to any third-party licenses embedded in underlying models.

To the maximum extent permitted by law, GemHub OS is not liable for indirect, incidental, special, or consequential damages, including lost profits, loss of data, or business interruption. Our total liability for any claim is limited to the fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

You may close your account at any time. We may suspend or terminate accounts that violate these Terms with or without notice. Upon termination your data remains available for export for 90 days, after which it is deleted.

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved by binding arbitration under JAMS rules, except that either party may seek injunctive relief in court.

We may update these Terms. We will post changes here and notify registered users by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance.
